Welcome to afrimda! These Terms and Conditions (the “Terms“) govern your access and use of the afrimda platform and its services (collectively, the “Service“). By accessing or using the Service, you agree to be bound by these Terms. Please read them carefully.
1. Your afrimda Account
To access most of our services, you might need to create an account.
Accuracy of Information: You agree to provide accurate, complete, and current information when registering and to maintain the accuracy of this information.
Account Security: You are responsible for maintaining the confidentiality of your password and for all activities that occur under your account. Notify us immediately of any unauthorized use of your account.
Eligibility: The Service is intended for film professionals and emerging talents. By using afrimda, you confirm that you are of legal age and capacity to enter into a binding contract.
2. Our Services
afrimda is a platform designed to connect film professionals and emerging talents, and to offer consulting and development services. Our services include, but are not limited to, Expert Consulting (Script & Story Development, Post-Production), Festival Strategy, and Project Development & Packaging.
Nature of Service: afrimda acts as a facilitator. While we strive to connect you with qualified experts and provide valuable guidance, we do not guarantee the success of your projects, the securing of funding, or selection into festivals.
Third-Party Agreements: Specific consulting services may involve separate agreements between you and the consultants or other professionals. afrimda is not a party to such agreements and is not responsible for their terms or execution.
3. User Content
You may submit various types of content on afrimda, including project descriptions, script excerpts, and personal information.
Your Rights: You retain all intellectual property rights in the content you submit to afrimda.
Your License to afrimda: By submitting content, you grant afrimda a worldwide, non-exclusive, royalty-free, transferable, and sublicensable license to use, reproduce, distribute, modify, display, and perform the content in connection with the operation and promotion of the Service. This license is solely to enable us to provide the services you’ve requested and does not authorize us to sell your content without your express permission.
Representations and Warranties: You represent and warrant that you own or have the necessary licenses, rights, consents, and permissions to authorize afrimda to use your content as contemplated by these Terms.
Prohibited Content: You agree not to submit any content that is unlawful, defamatory, obscene, threatening, invasive of privacy, infringing on intellectual property rights, or otherwise injurious to third parties or objectionable.
4. User Conduct
You agree to use afrimda in a respectful and lawful manner.
Respect: You will interact with other users and professionals in a respectful and professional way.
Prohibited Use: You may not use the Service for any illegal or unauthorized purpose, or engage in any activity that disrupts or interferes with the Service.
5. afrimda Intellectual Property
The afrimda platform itself, including its content, features, and functionality (excluding user-provided content), is the exclusive property of afrimda and its licensors. It is protected by copyright, trademark, and other laws.
6. Disclaimers and Limitation of Liability
No Warranties: The Service is provided “as is” and “as available,” without warranties of any kind, either express or implied. afrimda does not warrant that the Service will be uninterrupted, secure, or error-free.
Limitation of Liability: To the fullest extent permitted by applicable law, afrimda will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from (a) your access to or use of or inability to access or use the Service; (b) any conduct or content of any third party on the Service; or (c) unauthorized access, use, or alteration of your transmissions or content.
7. Termination
We may suspend or terminate your access to the Service immediately, without prior notice or liability, if you breach these Terms.
8. Governing Law
These Terms will be governed by and construed in accordance with the laws of [Rwanda – Germany(for-some-cases)], without regard to its conflict of law provisions.
9. Changes to Terms
We may modify these Terms at any time. If a revision is material, we’ll make reasonable efforts to provide at least 30 days’ notice prior to any new terms taking effect. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
